Acceptance of the terms

BarbSnap is a service operated by Brian Agustín Diez Lozano (individual), as stated in the previous section.

We operate the website https://barbsnap.com, together with all related products and services that refer or link to these terms and which we collectively call the "Service".

These Terms constitute a legally binding agreement between you —whether on your own behalf or on behalf of an entity— and BarbSnap, regarding your access to and use of the Service. By accessing the Service you confirm that you have read, understood and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you may not use the Service and must discontinue its use immediately.

We will give you advance notice of any scheduled change to the Service. The modified Terms take effect upon publication or upon notifying you by email. If you continue using the Service after the effective date, you accept the modified terms.

The Service is intended for adult users. It is not directed at children under 13. If you are a minor in your jurisdiction, you need the permission and supervision of your parent or guardian to use it.

1. Our service

BarbSnap is a SaaS platform for barbershop management: multi-barber agenda, bookings, register, analytics and customer service over WhatsApp and Instagram with an AI bot. The information provided through the Service is not intended for distribution or use in jurisdictions where that would be contrary to law. Those who access from other locations do so on their own initiative and are responsible for compliance with any applicable local laws.

The Service is not designed to comply with specific sector regulations (for example, specialized health or financial regulations). If your activity is subject to such laws, you must not use the Service.

How the service is contracted

BarbSnap is a digital subscription service that the barbershop owner contracts online, without in-person contact or shipment of physical products. The process is as follows:

• 1. Registration. You create a free account at barbsnap.com/registerwith your name, email and your barbershop's details.
• 2. Plan selection. From Settings → Subscription you choose the plan (Starter, Pro or Unlimited) and the billing cycle (monthly or annual). The prices and what each plan includes are published at barbsnap.com/pricing.
• 3. Free trial. You get a 7-day trial at no charge. When confirming the plan you authorize your payment method, but the first charge only occurs at the end of the trial.
• 4. Activation and charge. On day 8 the chosen plan is charged automatically and the Service becomes active. The subscription renews on its own at the end of each cycle until you cancel it.
• 5. Cancellation. You can cancel any time from your account; the Service stays active until the end of the period already paid and is not charged again. No refunds are given for periods already paid.

The Service is provided in a standard way (it is not a custom development): all barbershops access the same platform according to the contracted plan. Support and inquiries are handled through the channels indicated on the Contact page.

2. Intellectual property rights

Our intellectual property

We own or license all intellectual property rights in the Service, including source code, databases, functionality, software, design, texts, images and graphics, as well as trademarks, logos and distinctive signs. The content and trademarks are protected by intellectual property laws and international treaties.

Your use of the Service

Subject to compliance with these Terms, we grant you a non-exclusive, non-transferable and revocable license to access the Service and use the Content you legitimately access, solely for your internal commercial or personal use. Except as provided here, no part of the Service or the Content may be copied, reproduced, republished, sold, licensed or commercially exploited without our prior written permission at legal@barbsnap.com.

Your contributions

By sending us inquiries, comments, suggestions or feedback about the Service ("Contributions"), you agree to assign to us all intellectual property rights in such Contributions, which we may freely use and distribute without acknowledgment or compensation. You are responsible for what you post or upload, and you warrant that your Contributions are original or that you have the necessary rights, and that they are not illegal, abusive, defamatory or misleading.

3. User representations

By using the Service, you represent and warrant that:

• All registration information you submit is true, accurate, current and complete.
• You will keep such information accurate and update it when necessary.
• You have legal capacity and agree to comply with these Terms.
• You are not under 13 years old.
• You will not access the Service through unauthorized automated or non-human means.
• You will not use the Service for illegal or unauthorized purposes.
• Your use will not violate any applicable law or regulation.

If you provide false or outdated information, we may suspend or terminate your account and refuse current or future use of the Service.

4. User registration

To use the Service you must register. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to remove or change a username we deem inappropriate or objectionable.

5. Purchases and payment

Payments are processed through Mercado Pago, and you can use any of the payment methods available within its platform. You do not enter card data directly into BarbSnap.

You agree to provide current, complete and accurate purchase and account information, and to keep your payment method updated so we can complete transactions. Plan prices are expressed in US dollars (USD), and the charge is made in local currency at the exchange rate in effect at the time of payment; for that reason, the final amount in local currency may vary slightly from the reference value shown. We may change prices at any time. We reserve the right to refuse or limit orders and to correct pricing errors, even after requesting or receiving payment.

6. Subscriptions

Billing and renewal

Your subscription continues and renews automatically unless cancelled. You authorize us to charge your payment method on a recurring basis, without requiring your prior approval for each charge, until you cancel. The billing cycle is monthly or annual, depending on the plan you choose: if you pay for the full year, the charge and renewal are annual.

Trial period

We offer a 7-day free trial to new users who register. At the end of the trial, the subscription will be charged according to the chosen plan.

Cancellation

All purchases are non-refundable. You can cancel your subscription at any time from your account. Cancellation takes effect at the end of the current paid period. If you have any questions, write to legal@barbsnap.com.

Rate changes

We may modify the subscription rate from time to time. Any change in billing will be notified to you at least 30 days in advance before taking effect, in accordance with applicable law.

7. Prohibited activities

You may not use the Service for purposes other than those for which it is made available. As a user, you agree not to:

• Systematically retrieve data or content to create collections, compilations or databases without our written permission.
• Deceive, defraud or mislead us or other users, especially to obtain sensitive information such as passwords.
• Circumvent, disable or interfere with the security features of the Service.
• Disparage, harm or damage, in our judgment, the Company or the Service.
• Use information obtained from the Service to harass, abuse or harm another person.
• Misuse our support or submit false reports.
• Use the Service in a manner inconsistent with any applicable law or regulation.
• Upload or transmit viruses, trojans, spam or material that interferes with the use of the Service.
• Make automated use of the system (scripts, bots, scrapers, data mining) without authorization.
• Circumvent measures intended to prevent or restrict access to the Service.
• Copy or adapt the Service's software, or reverse-engineer it except where the law permits.
• Collect usernames or emails to send unsolicited mail, or create accounts by automated means or under false pretenses.
• Use the Service to compete with us or for any unauthorized commercial venture.
• Send spam to end customers.

8. Use of WhatsApp and Instagram (Meta)

If you connect your WhatsApp Business or Instagram account through BarbSnap:

• You also accept the WhatsApp Business Policies and the Meta Platform Terms.
• You are responsible for the content of messages sent from your account, even if they were sent by automations you configured.
• End customers must have given their consent (opt-in) to receive messages from your barbershop.
• We may suspend the integration if Meta requests it or if we detect abuse (high rate of blocks by customers).

9. Service management

We reserve the right —but not the obligation— to: monitor the Service for breaches; take appropriate legal action against those who violate the law or these Terms; restrict or disable, at our discretion, any contribution or content; and manage the Service in a way that protects our rights and facilitates its proper functioning.

10. Privacy policy

We care about the privacy and security of data. Review our Privacy Policy. By using the Service, you agree to be bound by it, which is incorporated into these Terms.

11. Term and termination

These Terms remain in effect while you use the Service. We reserve the right to deny access to and use of the Service, at our discretion and without prior notice, in the event of breach of any representation, warranty or provision of these Terms or of applicable law, including deletion of your account and the content you have posted, at any time.

If we cancel or suspend your account, we grant you a period of 30 days to export your data before deleting it permanently, except for what the law requires us to retain.

12. Modifications and interruptions

We may change, modify or remove the Service's content at any time and at our discretion, with no obligation to update information. We do not guarantee that the Service will be available at all times: we may experience interruptions, delays or errors due to maintenance or other issues. We will not be liable for any loss or inconvenience caused by your inability to access or use the Service during an interruption.

13. Governing law

These Terms are governed by and construed in accordance with the laws of the Oriental Republic of Uruguay. BarbSnap and you irrevocably consent that the courts of Montevideo, Uruguay, will have exclusive jurisdiction to resolve any dispute arising in connection with these Terms.

14. Dispute resolution

The parties will attempt to resolve any dispute arising from these Terms in good faith. If no agreement is reached, the dispute will be submitted to the competent courts of Montevideo, Uruguay. The language of the proceedings will be Spanish.

15. Corrections

There may be information on the Service with typographical errors, inaccuracies or omissions (descriptions, prices, availability). We reserve the right to correct any error and to update the information at any time, without prior notice.

16. Disclaimer

The Service is provided "as is" and "as available". Your use of the Service is at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, related to the Service and its use, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee the accuracy or completeness of the Content or of linked sites, nor do we assume liability for errors, damages, unauthorized access, interruptions or malicious third-party components.

17. Limitation of liability

In no event shall BarbSnap or its directors, employees or agents be liable to you or third parties for direct, indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, loss of revenue or data, arising from your use of the Service, even if we have been advised of such possibility. In any case, our aggregate liability will be limited to the amount you paid in the 6 months prior to the event giving rise to the claim.

18. Indemnification

You agree to defend, indemnify and hold harmless BarbSnap, its affiliates and their respective officers, agents and employees, against any loss, damage, claim or demand by third parties arising from: your use of the Service; your breach of these Terms; the breach of your representations and warranties; your violation of third-party rights; or any harmful act toward another user.

19. User data

We will keep certain data you transmit to the Service in order to manage its performance, as well as data relating to your use. Although we perform routine backups, you are responsible for all the data you transmit. You agree that we will have no liability for the loss or corruption of such data.

20. Electronic communications, transactions and signatures

Visiting the Service, sending us emails and completing online forms constitutes electronic communication. You consent to receive electronic communications and agree that all agreements, notices and other communications we provide to you electronically satisfy any legal requirement of written form. You accept the use of electronic signatures, contracts and records.

21. Miscellaneous provisions

These Terms and any policy published by us constitute the entire agreement between you and us. Our failure to exercise a right does not constitute a waiver of it. If any provision is deemed illegal, void or unenforceable, it will be considered severable and will not affect the validity of the remaining provisions. There is no joint venture, partnership or employment relationship between you and us as a result of these Terms.
